Acceptance of Terms
By downloading, installing, or using the Mayclear mobile application, the App, you agree to be bound by these Terms of Service, the Terms. If you do not agree to these Terms, do not use the App.
Description of Service
Mayclear is a productivity and focus application designed to help users manage tasks, maintain focus, and improve productivity through AI powered voice coaching and accountability, task management and organization, integration with third party task management services, focus timers and sprint rituals, and personalized productivity insights.
Account Registration
3.1 Account Creation
To use certain features of the App, you must create an account. You agree to provide accurate, current, and complete information, maintain and update your information as needed, keep your login credentials secure and confidential, and notify us immediately of any unauthorized use of your account.
3.2 Account Responsibility
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized access to your account.
User Conduct
You agree not to use the App for any unlawful purpose, attempt to gain unauthorized access to the App or its systems, interfere with or disrupt the App functionality, upload or transmit viruses, malware, or harmful code, use the App to harass, abuse, or harm others, reverse engineer, decompile, or disassemble the App, use automated systems or bots to access the App, or violate any applicable laws or regulations.
Intellectual Property
5.1 Our Ownership
The App, including its design, features, content, and underlying technology, is owned by Mayclear and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
5.2 Your Content
You retain ownership of the content you create within the App, such as tasks and notes. By using the App, you grant us a limited license to store, process, and display your content solely to provide the service to you.
Third Party Integrations
6.1 Connected Services
The App allows you to connect third party services such as Trello, Notion, Todoist, Google Tasks, Asana, Linear, ClickUp, Monday dot com, Jira, and others. Your use of these services is governed by their respective terms of service and privacy policies.
6.2 No Endorsement
Integration with third party services does not constitute our endorsement of those services. We are not responsible for the availability, accuracy, or content of third party services.
AI Features
7.1 AI Generated Content
The App uses artificial intelligence to provide coaching, task recommendations, and productivity insights. AI generated content is provided for informational purposes only and should not be relied upon as professional advice.
7.2 Limitations
AI features may occasionally produce inaccurate or incomplete responses. We do not guarantee the accuracy, completeness, or reliability of AI generated content.
Subscriptions and Payments
8.1 Free and Paid Features
Some features of the App may require a paid subscription. Free features are provided as is and may be modified or discontinued at any time.
8.2 Billing
Subscriptions are billed through your app store account such as Apple App Store or Google Play Store. Billing terms are governed by the respective app store terms.
8.3 Cancellation
You may cancel your subscription at any time through your app store account settings. Cancellation will take effect at the end of your current billing period.
8.4 Refunds
Refund requests are handled by the respective app store according to their policies.
Disclaimers
9.1 As Is Service
The App is provided as is and as available without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non infringement.
9.2 No Medical Advice
The App is not a medical device and does not provide medical, psychological, or therapeutic advice. If you have ADHD or any medical condition, consult with qualified healthcare professionals. The App is intended as a productivity tool only.
9.3 No Guarantee of Results
We do not guarantee that the App will improve your productivity, focus, or task completion. Results vary based on individual use and circumstances.
Limitation of Liability
To the maximum extent permitted by law, Mayclear and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the App.
Our total liability for any claims arising from these Terms or your use of the App shall not exceed the amount you paid to us in the twelve months preceding the claim, or 100 dollars, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless Mayclear and its affiliates from any claims, damages, losses, liabilities, costs, and expenses including attorneys fees arising from your use of the App, your violation of these Terms, your violation of any third party rights, or your content or data.
Termination
12.1 By You
You may terminate your account at any time by deleting your account through the App or contacting us.
12.2 By Us
We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, suspected fraudulent activity, or extended periods of inactivity.
12.3 Effect of Termination
Upon termination, your right to use the App ceases immediately. We may delete your data in accordance with our Privacy Policy.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or by email. Your continued use of the App after such changes constitutes acceptance of the new Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Dispute Resolution
15.1 Informal Resolution
Before filing a formal claim, you agree to contact us first to attempt to resolve the dispute informally.
15.2 Arbitration
Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial and to participate in class action lawsuits.
15.3 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights.
General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mayclear regarding the App.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
16.4 Assignment
You may not assign or transfer your rights under these Terms without our consent. We may assign our rights freely.
